We frequently serve as special counsel on a wide range of business and financial transactions and legal challenges that require securities experience. As both general and special securities counsel, we deal with numerous public and private offerings of stock, debt, and hybrid securities. We handle routine as well as exotic matters involving securities law, such as the preparation of annual reports and proxy statements, Section 16 compliance and press release disclosure. We regularly advise boards of directors on corporate governance and fiduciary obligations and structure a variety of executive compensation plans, incentive and nonqualified stock option plans, stock appreciation rights and performance share plans and employee stock purchase plans.
