In an article for Board Leadership, of counsel Kyle N. Richard explores new provisions in state and national guidelines that will impact various aspects of non-profit board activities. With the most recent adoption of the Model Non-Profit Corporation Act (Washington SB 5034) going into effect on January 1, 2022, Richard writes that “Washington State non-profit corporations should be prepared to amend their articles and bylaws to respond to this new law.” He adds, “Even non-profit organizations who will not have a legal requirement to update their organizational documents should be prepared for significant changes” as well.
